7 Signs Your Business Partner May Be Hiding Something

Every partnership fraud I have investigated had warning signs that predated discovery by at least a year. The partners simply did not recognise them — or did not want to. Here are the seven that recur, drawn from two decades of corporate investigation.
One: guarded systems. A partner who insists on exclusive control of banking, a particular vendor relationship, or the accounting software login is not being diligent; he is being territorial about something. In healthy firms, financial visibility is mutual by default.
Two: lifestyle outrunning income. New property, foreign holidays, a car upgrade — while the business pleads tight cash flow. Asset verification against declared income is one of our most requested services for a reason.
Three: vendors nobody remembers appointing. Fraud rarely walks out the front door; it rides on invoices. Related-party vendors with shared addresses, directors or auditors are the classic vehicle for siphoning.
Four: the indispensable man who never takes leave. Auditors know this one well — schemes need daily tending. An executive who refuses vacations, works odd hours alone, and panics at the idea of someone covering his desk deserves a closer look.
Five: resistance to routine audits. Watch how a partner reacts to the suggestion of an independent review. Relief is innocence; fury is information.
Six: quiet changes in registered documents. Charges created on company assets, changes in authorised signatories, new companies floated with familiar addresses — all visible in public filings, if anyone is looking. Most partners never look.
Seven: the rumour that reaches you last. When a supplier or an ex-employee hints that 'everyone knows' about your partner's side arrangements, take it seriously. Ground-level networks usually know the truth years before the balance sheet confesses.
None of these signs is proof. Each has innocent explanations, and in perhaps half the cases we investigate, the partner comes out clean — a result that saves the partnership twice over. But two or more signs together justify a discreet, professional look at the facts. What you do not verify, you eventually finance.
